I’m for accountability measures, not strongly for or against the current proposal.

I have no problem taking Profs suggestion, which was also discussed with Index, that if a situation were to get to the level that legal litigation had to take place, I would pass that information off to the Duna Admins and they can decide which Attorneys to use.

I also honestly do not think any proposals will get to that level. As I mentioned previously, proposals were submit to the DAO in good faith by proposers so I’m sure they would be willing to either deliver or pay back to the DAO the funds received…. But it’s also good to have framework laid out to show we take the matter serious and are transparent about our methods.

However I do understand that this part of a "Clean the House" initiative can help us move across the point to close certain chapters and introduce a new season in which we can lean forwards and inwards with more confidence and build into the future. I'm confident that Bix can work through the backlog within this time period and establish a decentralized process that can be semi-automated.

Like Mike, I’m slightly less convinced about the ‘Enhanced Audit Process,’ but that doesn’t affect how I feel about allocating a small portion of the treasury to foster the right culture and learn from past experiences. Although a bit spicy at times, Bix has the right energy and background to lead this. Ideally, this would be a small group of people who rotate every 6 months or year.

Down for this, most of my feedback is on where it’s hosted GitHub vs prop dates. Really think we should edit prop dates to support some of this data but that’s not stopping me from voting on this.

Also I’m for packaging everything up and letting the hammer come from the DUNA or elsewhere. Either way I’m in.

Quoting this again because it's exactly what I meant when I said we should have something like this:

That’s the part. Just keeping receipts. No chasing refunds or drama. Just saying out loud what everyone already knows but pretends not to see. If transparency makes folks nervous, maybe that is the point.

I’ve said it before. We need something that simply shows what got delivered, what got rugged, and what’s not worth funding again. Doesn’t need to recover anything. It’ll save us more by just helping us not repeat the same mistakes.

I like, but am also a little torn on, the "Enhanced Audit Process" ... I agree with Trav, it would be nice to have seen a MVP of what this looks like on a handful proposals.

Mostly not sure about the tactics listed under "Legal Recovery Framework." ... If you're going to take Prof's suggestions on this, which you say you will in the comments below, I'll flip my original vote to a FOR... But might be better to re-propose without this section.

Repeating my Nouncil vwr here: I’m voting For BUT with one caveat— bixbite should not be engaging outside attorneys. Any info obtained & any recommendations should be sent to the DUNA admins for further action with the attorneys we already have especially since that would be the only way to take actual legal action and there may be other concerns that need consideration.

Also a general note - if there are any props that threaten our legal status as has been suggested by some, it's on our DUNA Admins and attorneys to flag that and use the the veto if needed.

For some reason, Wylin called me out in his comment and just want to clarify that by "attorney not in good standing" I assume he means not actively practicing law which is correct -- And never have I stated otherwise. That is a term to note when an attorney is no longer practicing for those unaware. Neither have I ever claimed to be an attorney with experience in securities law but have pointed out on occasion that we should seek advice of such counsel on some props.

If this was some attempt to malign my character it was a poor one and mystifying as to why. He seems to be a tad confused so just wanted to clarify here.

Bix Believer, she fits in the role since I feel she keeps the track already on many of the proposals and she is aware and part of most of things that happens around here.

I believe the Legal Recovery Framework / Treasury Recovery Mission details is the only thing giving me pause.

Im an easy for with this (tried to word so it still meets what your goal is):

1.) As part of this prop, A legal recovery strategy for the DUNA is drafted and reviewed by current DUNA attorneys for approval.
2.) Recovery in the current prop is limited to an informal non legal request.
3.) A future prop is executed granting permission for an attorney or firm to execute the previously reviewed legal recovery strategy for XYZ time period. A

Accountability is needed, when I talk with friends about Nouns and they ask what prevents people from running off with funds, I don't have a good answer. This prop or a modified version of this prop is a much needed step for that answer.

This is something that we need, if anything to at least have a record of accountability on things that we can refer to and not repeat. and I think that Bix has a pretty good set of skills and social score to deliver on this

I think this is worthwhile as a 6 month trial, and I don't know many who are as connected to Nouns as Bix. I'd like to continue to see her get involved in things aside from Nouncil, as having her listen in on Nouns GG is a nice change from how most of Nouns treats the esports side of things.

We support the tracking & follow-up section of this prop, it brings needed proposer accountability to the dao.

Unfortunately, the rest of the work (Enhanced Audit Process & Legal Recovery Framework) feels unnecessary right now, speculative and unclear, with uncertain results from the documentation being prepared. The legal recovery aspect already flagged as a small component, if even possible. The ability to claim tax write-off or loses from uncompleted line items from past props, again unclear when asked admin.

Potentially tasks that could be proposed when theres more clarity on them.

God help us if we aren’t allowed to pass a simple prop for someone to check in on other passed proposals. Maybe we should pass that suit trait afterall. Excited for Nouns LLC

This is necessary work that can yield very interesting output data for future decision making, with a solid proposer taking on the task having many green flags for me.

Setting aside those unfortunately personal aspects, this proposal - yet again - creates a de facto Administrator with indeterminate fiduciary obligations to the DUNA.

The authors of the DUNA legislation have been abundantly clear that this is not how DUNAs should be structured, that we are creating unnecessary legal risk, and that we should pursue a different legal entity if this is how we intend to empower individuals!
